Risk Disclosure & Client Expectations Addendum

This Risk Disclosure & Expectations Addendum (“Addendum”) forms part of and is incorporated into all Service Agreements, proposals, and engagements with ReloxaLent.

By proceeding with any ReloxaLent service, the Client acknowledges and agrees to the following:


1. Marketplace Risk Acknowledgement

The Client understands that Amazon and other eCommerce platforms are third-party marketplaces governed by independent policies, algorithms, and enforcement systems.

Risks may include, but are not limited to:

  • Account reviews, suspensions, or verification delays
  • Listing suppressions or removals
  • Policy changes affecting selling eligibility
  • Competitive pricing pressure and Buy Box volatility

Such actions do not constitute breach of service obligations.


2. No Revenue or Performance Guarantees

The Client acknowledges that:

  • No guarantees of sales, rankings, revenue, or profitability are made
  • Performance outcomes depend on multiple variables beyond ReloxaLent’s control, including:
    • Market demand
    • Competition
    • Product quality and pricing
    • Inventory availability
    • Advertising budgets

The Client assumes all commercial and investment risk associated with product selection and inventory decisions.


3. Product & Inventory Risk Disclosure

The Client understands that:

  • Initial product launches or inventory orders are conducted as tests, not income guarantees
  • All inventory carries inherent financial risk
  • Conservative test quantities are recommended to minimize exposure

ReloxaLent shall not be responsible for unsold inventory, supplier performance, or manufacturing delays.

ReloxaLent does not provide financial, legal, or tax advice.


4. Compliance & Policy Limitations

ReloxaLent operates strictly within marketplace policies and best practices.
The Client acknowledges that:

  • Compliance guidance does not eliminate enforcement risk
  • Platform interpretations of policies may change without notice
  • Decisions to proceed with certain products or strategies are ultimately the Client’s responsibility

ReloxaLent will not engage in prohibited, deceptive, or high-risk practices at the Client’s request.


5. Client Participation Requirement

The Client agrees that early-stage Amazon growth requires active participation.

This includes:

  • Timely approvals and responses
  • Decision-making during validation and launch phases
  • Providing accurate and complete information

Delays or lack of engagement may affect timelines and outcomes.


6. Scope & Execution Boundaries

The Client acknowledges that:

  • Services are delivered strictly within the agreed scope
  • Guidance and execution are distinct phases
  • Requests outside scope may require additional fees or a revised agreement

ReloxaLent is not responsible for tasks, tools, or actions performed by the Client outside the agreed process.


7. Advertising & Spend Risk (If Applicable)

Where advertising services are included:

  • Ad spend is controlled and approved by the Client
  • Advertising results are not guaranteed
  • Poor performance may occur during testing phases

ReloxaLent is not responsible for advertising losses incurred as part of data collection or optimization. All advertising budgets are funded and controlled by the Client.


8. No Circumvention or Dependency

The Client acknowledges that:

  • Long-term success depends on continued execution, funding, and strategic decision-making beyond the engagement period.
  • Services may include Done-For-You implementation within the agreed scope; however, ReloxaLent does not assume ownership, operational control, or financial responsibility for the Client’s business.
  • All commercial decisions, product investments, and ongoing business management remain the Client’s responsibility.

9. Acceptance of Risk

By engaging ReloxaLent:

  • The Client accepts the inherent risks of eCommerce and marketplace selling
  • The Client agrees not to hold ReloxaLent liable for commercial outcomes beyond the agreed scope or outside ReloxaLent’s reasonable control.

This Addendum is intended to ensure transparency, alignment, and a professional working relationship.


10. Acknowledgement

By proceeding with services, the Client confirms that they have:

  • Read and understood this Addendum
  • Asked any necessary questions
  • Accepted the risks and expectations outlined above

This Addendum remains in effect for the duration of the engagement and survives termination.
